1. Acceptance of Terms

By accessing or using FarmWise ("the Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users of the Service, including farmers, data collectors, administrators, and any other users.

2. Description of Service

FarmWise is an agricultural data management platform that enables users to:

  • Record and manage farming data (crops, production, sales, expenses)
  • Track agricultural activities and environmental data
  • Generate reports and analytics
  • Manage farmer and farm information
  • Access cooperative and agricultural management tools

3. User Accounts

3.1 Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information to keep it accurate
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

5. User Content and Data

5.1 Ownership

You retain ownership of all data and content you upload or create using the Service ("User Content"). By using the Service, you grant FarmWise a non-exclusive, worldwide, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving the Service.

5.2 Data Accuracy

You are solely responsible for the accuracy, completeness, and legality of all User Content you submit. You represent and warrant that you have all necessary rights and permissions to submit User Content and that it does not infringe on any third-party rights.

5.3 Data Backup

While we implement backup and recovery procedures, you are responsible for maintaining your own backups of important data. FarmWise is not liable for any loss of data.

6. Intellectual Property

The Service, including its original content, features, functionality, design, and software, is owned by FarmWise and protected by copyright, trademark, and other intellectual property laws. You may not use our trademarks, logos, or other proprietary information without our prior written consent.

7. Service Availability and Modifications

We strive to provide reliable service but do not guarantee that the Service will be available at all times or free from errors. We reserve the right to:

  • Modify, suspend, or discontinue the Service at any time
  • Perform maintenance that may temporarily interrupt service
  • Update features and functionality
  • Impose usage limits or restrictions

We will provide reasonable notice of significant changes when possible.

8. Fees and Payment

Some features of the Service may require payment. If you purchase a paid subscription:

  • You agree to pay all fees associated with your subscription
  • Fees are charged in advance on a recurring basis
  • All fees are non-refundable unless otherwise stated
  • We reserve the right to change our pricing with advance notice
  • Failure to pay may result in suspension or termination of your account

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us or using account deletion features in the Service.

10.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, if you:

  • Engage in fraudulent, abusive, or illegal activity
  • Fail to pay required fees
  • Use the Service in a manner that harms us or other users

10.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. We may delete your account and User Content, subject to legal retention requirements. Provisions that by their nature should survive termination will remain in effect.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF INFORMATION ON THE SERVICE

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FARMWISE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, DATA, OR USE
  • BUSINESS INTERRUPTION
  • LOSS OF GOODWILL OR REPUTATION

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless FarmWise, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content

14. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through:

  1. Good Faith Negotiation: Parties will attempt to resolve disputes through direct communication
  2. Mediation: If negotiation fails, disputes will be submitted to mediation
  3. Arbitration or Litigation: As permitted by applicable law

15. Governing Law
